Decision Density: The Hidden Workforce Challenge in M&A

Governing Workforce Decisions During M&A: Clarify Decision Rights, Coordinate Decisions, Prioritize Value, Preserve Organizational Learning. Data expands the options. Governance determines the quality of the decisions.

During the first 100 days following a merger, organizations make hundreds of workforce decisions. Leadership appointments, organizational design, workforce planning, technology integration, and talent retention all progress simultaneously, with each decision influencing the next. Without clear governance, delays, conflicting priorities, and decision bottlenecks can quickly undermine integration.

The framework highlights four governance practices that help leaders keep workforce decisions moving while maintaining strategic alignment.

Clarify decision rights. Define who recommends, approves, decides, and executes each workforce decision before Day 1 to eliminate ambiguity and strengthen accountability.
Coordinate decisions. Establish governance forums and an Integration Management Office (IMO) to connect decisions across HR, Finance, IT, Legal, Operations, and business leaders, ensuring interdependent issues are addressed together rather than in isolation.
Prioritize value. Executive attention is limited. Focus leadership on workforce decisions that most influence the realization of the investment thesis, while delegating routine operational decisions.
Preserve organizational learning. Document not only what was decided, but also why. Capturing assumptions, trade-offs, and lessons learned helps organizations strengthen future workforce decisions rather than starting from scratch with every transformation.
